Bio
Liz Davenny is a Partner at Gennari Aronson and has been named a Massachusetts Super Lawyers Rising Star in Boston Magazine. Liz counsels a wide range of emerging growth companies from the green/sustainable technology, SaaS and enterprise software, information technology, professional services, healthcare and other industries. She has substantial experience in structuring and negotiating licensing, distribution, supply, purchasing and manufacturing agreements and has counseled clients in numerous mergers and acquisitions and financing rounds as well as general corporate governance and securities compliance matters. Liz’s work with emerging growth companies spans the entire lifecycle, from negotiating general corporate agreements to structuring strategic financings and exits.
For a decade prior to joining Gennari Aronson, Liz was an associate at Choate, Hall & Stewart in Boston where she worked on a variety of corporate and securities matters for private and publicly held clients.
Liz holds a J.D from Boston College Law School, magna cum laude, where she was Senior Articles Editor for the Boston College Third World Law Journal and a member of the Order of the Coif. Before law school, Liz served as an Americorps volunteer in Washington, D.C., running an after-school and summer enrichment program for teens that had passed through the organization’s short-term shelter, and then as a counselor and house manager at Communities for People in the Boston area. She received her B.A. in History & French, magna cum laude, from Amherst College, where she was a member of the varsity squash team.

RepresentedAmerican subsidiaries of a Japanese public company in acquisitions of medical device and laboratory testing companies.
Company counsel to business in the photonics space in $85M asset sale to a large government contractor.
Represented consulting firm in spin out and sale of its home-grown environmental services and remediation business.
Managed sale process, participated in several in-person negotiating sessions, and worked directly with primary owner and CEO of closely-held medical device company in $90M sale to a NYSE-listed company.
Company counsel to numerous companies exploring M&A and other strategic options, advising on sale preparation, auction process, negotiation of definitive agreements and deal execution.
Financings
Company counsel for various AI, green tech and other technology companies in venture round financings
Negotiated $150 million private placement for company in the outdoor advertising and surety insurance business
Company counsel in numerous convertible debt and angel financing rounds

Professional & Community Involvement
Liz is a member of the Boston chapter of INBLF (International Network of Boutique and Independent Law Firms). She also serves as a lay leader, officer and Deacon emeritus at First Congregational Church of Somerville.
